Welcome to YUMMY DRINKS LTD.

These Terms and Conditions govern the use of our website and the purchase of products from YUMMY DRINKS LTD.

Please read these Terms carefully before creating an account, placing an order, or otherwise using our website.

By using our website or placing an order with us, you agree to be bound by these Terms and Conditions.

2. BUSINESS CUSTOMERS

Our wholesale website and wholesale pricing are intended primarily for customers purchasing products for business purposes, including retailers, wholesalers, distributors, hospitality businesses, food-service businesses, and other commercial customers.

By placing a wholesale order, you confirm that:

    • you are acting in the course of a business, trade or profession;
    • you have authority to place the order on behalf of that business where applicable;
    • the information supplied to us is accurate and complete; and
    • products ordered through a wholesale account are being purchased primarily for business purposes.

These Terms therefore apply primarily to business-to-business (“B2B”) transactions.

If YUMMY DRINKS LTD introduces sales to individual consumers in the future, applicable statutory consumer rights will not be excluded or restricted by these Terms.

3. USING OUR WEBSITE

You may use our website only for lawful purposes.

You must not:

  • use the website fraudulently or unlawfully;
  • attempt to gain unauthorised access to our systems;
  • interfere with the security or operation of the website;
  • introduce viruses, malware or other harmful material;
  • misuse another customer’s account;
  • provide deliberately false business or payment information;
  • reproduce substantial parts of the website without permission; or
  • use automated systems to scrape or extract website content without our written permission.

We may suspend or restrict access where we reasonably believe the website, an account, or our services are being misused.

4. BUSINESS ACCOUNTS

Certain wholesale prices, products, or ordering features may require a registered business account.

When creating an account, you must provide accurate and current information.

You are responsible for:

    • keeping your login credentials confidential;
    • controlling access to your account;
    • ensuring authorised employees use the account appropriately; and
    • notifying us promptly if you believe your account has been compromised.

We may request reasonable information to verify a business before activating or continuing a wholesale account.

We reserve the right to approve, refuse, suspend, or close a wholesale account where reasonably necessary for commercial, fraud-prevention, security, or legal reasons.

5. PRODUCTS

We take reasonable care to describe and display our products accurately.

However, product packaging, bottle or carton design, colours, labels, ingredients, specifications, and presentation may occasionally change.

Images on our website are provided for general illustration and may appear slightly different depending on the device or display used.

Product information supplied by manufacturers or producers may also be updated from time to time.

Customers should always review the information printed on the actual product packaging before consumption, resale or supply to an end customer.

6. INGREDIENTS, ALLERGENS AND PRODUCT INFORMATION

Where applicable, product pages may contain information regarding ingredients, nutritional values, allergens, storage requirements, and other product characteristics.

Although we take reasonable steps to ensure this information is accurate, the information printed on the product packaging should be treated as the most current product information.

Business customers are responsible for ensuring that products are handled, stored, displayed and resold in accordance with applicable laws and the instructions appearing on the product or packaging.

If you require specific ingredient or allergen information before ordering, please contact us before placing your order.

7. PRICES

Wholesale prices displayed on our website may change from time to time.

Unless expressly stated otherwise:

    • prices are shown in Pounds Sterling (GBP);
    • VAT will be applied where required by law;
    • delivery charges are additional unless expressly included; and
    • promotional pricing applies only during the stated promotional period or while relevant stock remains available.

The final price payable will be displayed or otherwise communicated before an order is completed.

We may correct pricing, typographical or technical errors.

Where a material pricing error is discovered after an order has been placed but before dispatch, we may contact you to confirm whether you wish to proceed at the correct price or cancel the affected item and receive a refund.

8. PLACING AN ORDER

An order placed through our website constitutes an offer by you to purchase the products included in that order. Receipt of an automated order acknowledgement does not necessarily mean that your order has been accepted.

A contract between you and YUMMY DRINKS LTD is formed when we:

    • expressly accept the order;
    • issue a dispatch confirmation; or
    • otherwise confirm that the order has entered fulfilment, whichever occurs first.

We reserve the right to refuse or cancel an order before acceptance where reasonably necessary, including where:

    • products are unavailable;
    • an obvious pricing or product error has occurred;
    • payment cannot be authorised;
    • delivery cannot reasonably be completed;
    • we reasonably suspect fraud or misuse;
    • the order breaches account restrictions; or
    • fulfilling the order could breach applicable law.

Where payment has already been taken for an order that we subsequently cannot accept, we will arrange an appropriate refund.

9. PRODUCT AVAILABILITY

All products are subject to availability.

We may:

    • limit quantities available to individual customers;
    • temporarily remove products;
    • substitute packaging formats only where agreed;
    • discontinue products; or
    • offer partial fulfilment where appropriate.

We will not intentionally substitute a materially different product without informing you.

10. PAYMENT

Available payment methods will be displayed during checkout or agreed separately with approved business customers.

Payment may be required in full before dispatch unless credit terms have been separately agreed by YUMMY DRINKS LTD in writing.

You confirm that you are authorised to use the payment method supplied for an order.

Where a card or electronic payment is processed by a third-party payment provider, that provider may perform fraud prevention, authentication and security checks.

Orders may be withheld until cleared payment or appropriate payment authorisation has been received.

11. CREDIT TERMS

Where YUMMY DRINKS LTD has expressly granted a customer credit facilities, the specific payment period and credit limit communicated to the customer will apply.

Credit facilities are granted at our discretion and may be reviewed, reduced, suspended or withdrawn.

Unless otherwise agreed in writing, the granting of credit terms for one order does not create an obligation to provide credit for future orders.

Amounts not paid when due may result in:

    • suspension of further deliveries;
    • suspension of account facilities; and
    • recovery action permitted under applicable law.

Nothing in these Terms restricts any statutory entitlement YUMMY DRINKS LTD may have to claim interest or reasonable debt-recovery costs in respect of qualifying late commercial payments.

12. DELIVERY

Delivery options, charges, and estimated delivery times will be displayed at checkout, quoted separately, or agreed with the customer.

We may deliver using our own logistics arrangements or independent couriers, hauliers, or fulfilment providers.

Delivery times are estimates unless expressly agreed in writing as a guaranteed delivery date.

Customers are responsible for providing:

    • a complete and accurate delivery address;
    • suitable contact information;
    • reasonable access for delivery vehicles;
    • any necessary delivery instructions; and
    • an authorised person to receive deliveries where required.
    • Additional charges caused by an incorrect address, refused delivery, failed delivery, restricted

access or unreasonable delay at the delivery location may be charged to the customer where reasonably incurred.

13. PALLET AND LARGE WHOLESALE DELIVERIES

For palletised or large commercial deliveries, the customer must ensure that the delivery location is reasonably suitable for the type of vehicle and delivery service selected.

Unless specifically agreed otherwise, specialist unloading equipment, timed deliveries, restricted-access delivery or delivery beyond the normal delivery point may incur additional charges.

Any special delivery requirement should be communicated before placing or confirming the order.

14. DELIVERY DELAYS

However, we will not be responsible for delays caused by circumstances outside our reasonable control.

These may include:

    • severe weather;
    • transport disruption;
    • courier or carrier disruption;
    • strikes or industrial action;
    • border or customs delays;
    • shortages of transport or materials;
    • supplier interruption;
    • government action;
    • emergencies;
    • natural disasters; or
    • failures of systems or infrastructure outside our reasonable control.

We will endeavour to keep affected customers reasonably informed.

15. RISK AND OWNERSHIP

Risk in the products normally passes to the customer when the products are delivered to the agreed delivery location.

Ownership of the products will not pass to the customer until YUMMY DRINKS LTD has received full cleared payment for the relevant products, unless otherwise agreed in writing.

Where legally permitted and applicable, until ownership passes, the customer should keep unpaid goods identifiable and appropriately stored.

16. CHECKING YOUR DELIVERY

Business customers should inspect deliveries as soon as reasonably practicable after receipt.

Visible damage, missing cases, incorrect quantities or obvious delivery discrepancies should be reported promptly.

Where reasonably possible, visible transit damage or shortages should be reported within 48 hours of delivery, together with photographs or other reasonable evidence where requested.

A failure to report visible damage promptly may make it more difficult for us to investigate a claim with the relevant carrier.

This provision does not prevent a customer from notifying us of a genuine latent or concealed defect that could not reasonably have been identified during initial inspection.

17. DAMAGED, DEFECTIVE OR INCORRECT PRODUCTS

If products arrive damaged, materially defective, or materially different from the products ordered, please contact us promptly.

We may reasonably request:

    • your order or invoice number;
    • product name and quantity;
    • batch or lot information;
    • photographs;
    • details of the issue; and
    • retention of the affected products while we investigate.

After verifying a valid claim, we may, depending on the circumstances:

    • replace the affected products;
    • issue a credit;
    • refund the affected amount; or
    • agree on another appropriate remedy.

Nothing in these Terms excludes legal rights or remedies that cannot lawfully be excluded.

18. WHOLESALE RETURNS

Because our wholesale products include food and beverages, we do not generally accept returns merely because a business customer has changed its mind, over-ordered, or is unable to resell the stock.

Returns must normally be authorised by YUMMY DRINKS LTD before products are sent back. Products returned without prior authorisation may be refused.

Where a return is approved, products must normally:

    • remain unopened;
    • remain in resaleable condition;
    • contain their original labels and packaging;
    • have been stored correctly; and
    • have suitable remaining shelf life.

These restrictions do not affect valid claims relating to damaged, defective, incorrectly supplied or recalled products.

19. STORAGE AND SHELF LIFE

Customers must store products in accordance with the storage instructions printed on the packaging or otherwise supplied by us or the manufacturer.

YUMMY DRINKS LTD will take reasonable commercial steps to supply stock with appropriate remaining shelf life.

Unless a specific minimum shelf-life period has been expressly agreed in writing, exact remaining shelf life may vary between products, batches and deliveries.

Products should not be sold or supplied after any applicable use-by date.

20. PRODUCT RECALLS AND SAFETY

Food and customer safety are important to us.

Where YUMMY DRINKS LTD becomes aware of a product recall, withdrawal, or material product-safety issue affecting products supplied by us, we may contact customers using the information associated with their account or order.

Business customers must reasonably cooperate with genuine product recall or withdrawal instructions.

Where products have already been resold, business customers are responsible for maintaining any records legally required for traceability within their own supply chain.

21. RESALE OF PRODUCTS

Wholesale customers are responsible for ensuring that their onward sale, advertisement, storage, and distribution of products comply with applicable laws.

Customers must not:

    • alter product expiry or best-before information;
    • knowingly sell unsafe products;
    • remove legally required information;
    • materially misrepresent the origin or characteristics of a product;
    • tamper with packaging; or
    • use Yummy branding in a misleading manner.

22. PROMOTIONS AND DISCOUNTS

Promotional offers may be subject to additional conditions.

Unless otherwise stated:

    • promotions cannot be exchanged for cash;
    • discounts may not be combined;
    • promotions may be limited by customer, product or quantity;
    • promotions remain subject to stock availability; and
    • promotional periods may end at the stated expiry date.

Any specific terms communicated with a promotion will form part of these Terms for that promotion.

23. INTELLECTUAL PROPERTY

All intellectual property rights in our website and its original content, including text, design, graphics, photographs, layout, software, and other material owned by YUMMY DRINKS LTD, remain the property of YUMMY DRINKS LTD or the relevant rights holder.

The Yummy name, logos, product branding and associated intellectual property may also belong to YUMMY DRINKS LTD, an affiliated business, manufacturer, licensor or other rights holder.

Nothing on this website transfers ownership of any intellectual property to the user.

Wholesale customers may use authorised product images or marketing materials supplied by us only for legitimate promotion and resale of genuine Yummy products and subject to any instructions we provide.

24. THIRD-PARTY LINKS

Our website may contain links to third-party websites or services.

These links may be provided for convenience.

We do not control third-party websites and are not responsible for their content, availability, security practices or privacy policies.

Customers should review the terms and privacy practices of third parties before using their services.

25. WEBSITE AVAILABILITY

We aim to keep our website available and functioning correctly.

However, uninterrupted access cannot be guaranteed.

We may temporarily suspend or restrict access for:

    • maintenance;
    • upgrades;
    • security;
    • technical problems;
    • infrastructure failures; or
    • circumstances beyond our reasonable control.

We may modify or update website functionality from time to time.

26. OUR LIABILITY

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for:

    • death or personal injury caused by negligence;
    • fraud or fraudulent misrepresentation; or
    • any other liability that cannot legally be excluded.

Subject to the above, in a business-to-business transaction, YUMMY DRINKS LTD will not be liable for indirect or consequential losses that were not reasonably foreseeable, including loss of anticipated profits, business opportunity or goodwill, to the extent such liability can lawfully be excluded.

Except for liability that cannot lawfully be limited, our aggregate liability arising from an individual Order will not ordinarily exceed the amount paid or payable to us for the products giving rise to that claim, to the extent such limitation is fair, reasonable and legally enforceable.

Nothing in this section is intended to override statutory requirements relating to the reasonableness of contractual limitations.

27. CUSTOMER RESPONSIBILITY

Business customers remain responsible for decisions concerning the resale and commercial use of products purchased from us.

YUMMY DRINKS LTD is not responsible for losses arising solely from:

    • incorrect storage by the customer;
    • unauthorised alteration of products or packaging;
    • resale after an applicable expiry date;
    • failure to follow product instructions;
    • inaccurate information supplied by the customer; or
    • unlawful resale practices.

28. FRAUD AND SECURITY

We may carry out reasonable fraud-prevention and security checks before accepting or fulfilling an order.

Where an order appears suspicious, we may request additional verification or temporarily hold the order while checks are completed.

We reserve the right to refuse transactions that we reasonably believe involve fraud, stolen payment information, identity misuse or other unlawful activity.

29. PERSONAL INFORMATION

We process personal information in accordance with our Privacy Policy and applicable UK data protection legislation.

Our Privacy Policy explains what information we collect, why we use it, how long we retain it, and the rights available to individuals.

30. EVENTS OUTSIDE OUR CONTROL

Neither party will be responsible for a failure or delay in performing contractual obligations where that failure results from circumstances outside that party’s reasonable control.

The affected party should take reasonable steps to minimise the effects of the event and resume performance as soon as reasonably practicable.

31. TERMINATION OR SUSPENSION OF BUSINESS ACCOUNTS

We may suspend or terminate a wholesale account where reasonably necessary, including where:

    • invoices remain materially overdue;
    • fraudulent activity is suspected;
    • these Terms are seriously breached;
    • our staff or delivery partners are subjected to abusive or threatening behaviour;
    • the account is being used unlawfully; or
    • continued supply could expose us to legal, regulatory or material commercial risk.

Termination does not cancel amounts already due or rights that arose before termination.

32. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes in:

    • our business;
    • our website;
    • our products or services;
    • payment or delivery arrangements; or
    • applicable legal or regulatory requirements.

The version displayed on our website when an order is placed will normally apply to that order unless otherwise required by law.

The date of the latest revision will be shown at the top of this page.

33. SEVERABILITY

If any provision of these Terms is held to be invalid, unlawful or unenforceable, the remaining provisions will continue in effect.

34. NO WAIVER

If we do not immediately enforce a right under these Terms, this does not mean that we have waived that right.

35. THIRD-PARTY RIGHTS

Unless expressly stated otherwise, a person who is not a party to a contract governed by these Terms has no right to enforce its provisions under the Contracts (Rights of Third Parties) Act 1999.

36. GOVERNING LAW AND JURISDICTION

These Terms and any contractual or non-contractual dispute arising from them are governed by the laws of England and Wales.

For business-to-business transactions, the courts of England and Wales will have exclusive jurisdiction, unless otherwise agreed in writing.

Nothing in these Terms is intended to remove any mandatory legal rights that cannot lawfully be excluded.
